This Mutual Non-Disclosure / Non-Circumvention Agreement is between Ab Mobasher (THE RECIPIENT) and

This agreement is made between the above Parties, effective as of the dates below, for the purpose of evaluating, mutually assisting the Parties in arranging, testing and analyzing inventions, products or technologies, or making an investment, or a sale of an equity, project, or business, or in assisting in the organization of a venture, through instruments of equity, joint venture partnerships, marketing arrangements, technology licensing or similar means. During the course of their mutual activities, the Parties will divulge proprietary information about intellectual properties, investors, claims, trade secrets, and/or patents, which one or both parties may possess or are negotiating to acquire, and other highly sensitive and competitive knowledge and business arrangements, including relationships with potential investors or buyer. Both Parties agree to assume that any information which are divulged to the other are proprietary information and agree not to divulge or disseminate any such proprietary information to third parties without the express written consent of the other. Ab Mobasher/GreenTEK RD and the may not divulge this information to any third party nor may it make independent use of this information in any manner whatsoever except for the purpose of its own due diligence in verification of the claims of Ab Mobasher. Both Parties agree not to circumvent each other in the use of this information and the development similar invention(s), technologies, use of information or contacts and negotiating partners. The Parties agree to negotiate directly and solely with and through the other party in regard to any new potential joint venture opportunity, sale, investment opportunity, or other financing opportunity, which the one makes known to the other, and to protect the sources and principals with which they work with complete confidentiality. The Disclosure may not circumvent Ab Mobasher and conclude an agreement separately with the contacts and potential partners, which Ab Mobasher may introduce. Similarly, Ab Mobasher may not make use of (the Disclosure's) intellectual properties, technologies, business contacts, introductions, associates, and partners to conclude separate agreements with them. It is understood and agreed that unless otherwise agreed upon with a separate written contract, all rights to invention(s) and improvements made by Recipient or its employees, partners or business associates, relating to the intellectual properties disclosed in this agreement and resulting from the disclosure of confidential information to the Recipient by the Disclosure, shall be the property of the Disclosure. However, these agreements shall not preclude either Party from acting independently in the development of their own technology or innovation developments, contacts, investors, property, and all other regular business activities, which they may independently conduct which by no mean is from the information presented or intellectual properties made by Ab Mobasher or the Disclosure. Nothing in this agreement shall be construed as an employment contract or as precluding either Party from engaging in an independent business or profession. Nothing in this agreement shall be construed to prohibit either Party from being in a similar business, nor prohibiting either Party from making independent arrangements for similar businesses. Nor shall this agreement preclude either party from making use of information, which they already are independently in possession of or come to know about from public sources. This agreement shall be valid for a minimum period of five (5) years from the date of the agreement. Ownership of the intellectual properties and all legal rights of each party shall remain the property of original owners before, during and after the term of contract unless otherwise agreed upon with a separate written contract.

The parties acknowledge that the parties subject to this NDA / NCA Agreement are organized in the State of Idaho and the State or Province of (enter your state/province of residence)

In the event a party to this Agreement is in breach of its terms or provisions, the non-breaching party shall have the option of selecting the forum for enforcement of the Agreement, and the Agreement's validity, construction and performance shall be governed by the laws of the State so chosen by the non-breaching party without regard to that State's laws as to choice or conflict of laws. In the event that an amicable settlement cannot be agreed to by mutual discussion and/or non-binding arbitration by a third party, provided however, that the party found in default by a judgment shall compensate in full the aggrieved party for all of its legal expenses, not withstanding any other provisions of the judgment. By submissio of this form, both parties agree to honor the e-signatures as provided and shown. Facsimile of this document is as valid as original and must be followed by mailing the hard copy to the discloser. Witness the hands and seals of the Parties hereto on this day:
